Subscription Agreement

Last updated: September 14, 2026

This Subscription Agreement ("Agreement") is entered into between DLA, a Société par Actions Simplifiée Unipersonnelle registered in France under number 849 430 582 RCS Paris, with registered office at 39 rue de la Gare de Reuilly, 75012 Paris ("Spreadsearch", "we", "us"), and you, the individual subscribing to the Spreadsearch Pro plan ("Subscriber", "you").

By checking the acceptance box on the pricing page and completing your subscription, you confirm that you have read, understood, and agree to be bound by this Agreement, together with our Terms of Service and Privacy Policy, which are incorporated by reference.

1. Subscription and Access

Upon payment of the applicable subscription fee, Spreadsearch grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Spreadsearch desktop application ("Application") for your personal, non-commercial use during the active subscription period.

Access to the Application is conditional on maintaining an active, paid subscription. If your subscription lapses, is cancelled, or is terminated for any reason, your right to use the Application ceases. You are not required to delete previously downloaded copies, but continued use without an active subscription is not permitted.

2. Subscription Plans and Pricing

Spreadsearch Pro is currently offered at the following rates, billed in US dollars (USD):

  • Monthly plan: $29.00 per month
  • Annual plan: $249.00 per year

All prices are exclusive of any applicable taxes. As a French entity selling digital services to consumers, we may be required to apply VAT or equivalent taxes depending on your country of residence. Any applicable taxes will be displayed at checkout before payment is taken.

We reserve the right to change subscription pricing at any time. You will be notified by email at least 30 days before any price change takes effect. If you do not wish to continue at the new price, you may cancel before the change takes effect.

3. Billing and Renewal

Your subscription begins on the date your first payment is processed and renews automatically at the end of each billing period (monthly or annual, as chosen) at the then-current rate, unless you cancel before the renewal date.

Payment is processed by Stripe on behalf of Spreadsearch. By subscribing, you authorize Stripe to charge your designated payment method automatically at each renewal. You are responsible for ensuring your payment details remain valid and up to date.

If a payment fails, Stripe will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your subscription may be suspended or terminated and access to the Application revoked.

4. Cancellation

You may cancel your subscription at any time through your account page at spreadsearch.com/account. Cancellation takes effect at the end of your current billing period. You will retain access to the Application until that date.

If you are not satisfied within the first 7 days of your initial subscription, you may request a full refund by contacting us at [email protected]. This guarantee applies to your first subscription period only and is not available on renewals. After the 7-day period, no refunds are issued for the remainder of a billing period following cancellation.

To cancel, sign in to your account and follow the cancellation instructions. If you encounter any difficulties, contact us at [email protected] and we will process your cancellation within 2 business days.

5. Refund Policy

Outside of the 7-day satisfaction guarantee, we do not offer refunds for partial billing periods. If you cancel during a billing period, you retain access until the period ends but will not receive a refund for the unused portion.

By exception, if the Application is materially non-functional due to a fault on our part and we are unable to resolve it within a reasonable time, you may request a refund for the affected billing period by contacting us at [email protected]. Each request will be assessed on a case-by-case basis.

If you are a consumer resident in the European Union, you have a statutory right of withdrawal of 14 days from the date of your first subscription. However, by proceeding with the subscription and downloading the Application, you expressly request immediate access to the digital content and acknowledge that you waive this right of withdrawal once the download has commenced, in accordance with Article L.221-28 of the French Consumer Code.

6. Permitted Use

Your subscription is for your personal use only. You may not:

  • Share your account credentials or subscription access with any third party
  • Sublicense, resell, or redistribute the Application or access to it
  • Use the Application for any commercial purpose, including providing services to third parties using the Application's output
  • Reverse-engineer, decompile, or modify the Application
  • Use the Application in any manner that violates applicable law or the terms, permissions, or policies applicable to your Interactive Brokers account or market data subscriptions

7. Interactive Brokers and Market Data Compliance

The Application is an independent third-party application that connects locally to Interactive Brokers' Trader Workstation (TWS) using your own Interactive Brokers account and market data subscriptions. Your use of your Interactive Brokers account, TWS, and market data through the Application remains subject to the agreements, market data terms, permissions, and policies applicable to your Interactive Brokers account and market data subscriptions.

The Application does not grant you any additional rights to use, publish, disseminate, redistribute, sublicense, or otherwise make available Interactive Brokers or third-party market data. You must not use the Application to provide market data or other licensed information obtained through Interactive Brokers to any third party except to the extent permitted under the terms applicable to your Interactive Brokers account and market data subscriptions or pursuant to any required prior written approval.

You are solely responsible for ensuring that your use of the Application, including any use, sharing, publication, redistribution, or other dissemination of market data or data-derived output obtained through the Application, complies with the terms applicable to your Interactive Brokers account and market data subscriptions and with applicable law.

To the fullest extent permitted by applicable law, you are responsible for reasonable and documented losses, liabilities, damages, costs, and expenses, including reasonable legal fees, incurred by DLA as a direct result of: (a) your breach of the obligations set out in this Section; (b) your unauthorized publication, dissemination, redistribution, or other use of market data or licensed information obtained through the Application; (c) your unlawful or intentional misuse of the Application; or (d) your material breach of this Agreement or our Terms of Service.

Where and to the extent permitted by applicable law, you also agree to indemnify and hold harmless DLA, its officers, employees, agents, and representatives against third-party claims and the resulting reasonable and documented losses, liabilities, damages, costs, and legal fees, but only to the extent directly caused by conduct described in paragraphs (a) through (d) above.

Nothing in this Section requires you to indemnify DLA to the extent that the relevant loss, liability, damage, cost, expense, or third-party claim was caused by DLA's own breach of this Agreement, negligence, or willful misconduct, or to the extent that such indemnification is prohibited by applicable law.

DLA may not recover the same loss, cost, or expense more than once under this Section.

The obligations in this Section survive termination of your subscription with respect to acts or omissions occurring during your use of the Application.

8. Service Availability

We aim to maintain the Application and supporting services in good working order. However, we do not guarantee uninterrupted availability. The Application depends on your local Interactive Brokers Trader Workstation installation and your IB market data subscriptions, which are outside our control. We are not liable for interruptions caused by Interactive Brokers, your internet connection, or your local system configuration.

We may update, modify, or temporarily suspend the Application or supporting services for maintenance, security, or improvement purposes. Where possible, we will give advance notice of planned interruptions.

9. Termination by Spreadsearch

We reserve the right to suspend or terminate your subscription and access to the Application at any time if:

  • You breach this Agreement or our Terms of Service
  • We reasonably suspect fraudulent, abusive, or unlawful use of your account
  • We discontinue the Service

In the event of termination due to discontinuation of the Service, we will provide at least 30 days notice and issue a pro-rata refund for any unused prepaid subscription period.

10. Disclaimer and Limitation of Liability

Spreadsearch is a data analytics tool. It does not constitute financial advice. You are solely responsible for all trading decisions made using the Application's output. Trading options involves significant risk of loss.

To the fullest extent permitted by law, Spreadsearch's total liability to you under this Agreement shall not exceed the subscription fees paid by you in the 12 months preceding the event giving rise to the claim.

11. Governing Law

This Agreement is governed by the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Paris, unless mandatory consumer protection laws applicable in your country of residence provide otherwise.
